Contract Rebalancing
Tendências has extensive experience in the economic and financial rebalancing of contracts, whether in concessions and public-private partnerships (PPPs) or in commercial and corporate disputes.
This mechanism aims to prevent one of the parties from bearing the entire burden of unforeseen or extraordinary events that are outside the set of risks assumed and significantly affect the economic viability of the contract. In this sense, the contribution of Tendências includes:
- Measurement of the financial impacts associated with the unforeseen/extraordinary event;
- Calculations of economic and financial imbalance and rebalancing;
- Tariff calculations within the scope of tariff review processes;
- Identification of the reasons and consequences of imbalances;
- Calculations of economic and financial parameters established in the contract;
- Suggestion of mechanisms for reviewing/rebalancing contracts.
The objective of economic and financial rebalancing is to ensure that both parties maintain a fair and balanced relationship, considering changes in conditions that were not foreseen at the time of its execution.
The review of contracts whose execution has become economically unfeasible implies an analysis of the economic reasons, whether of a macro or sectoral nature, that underlie this critical analysis.
In partnership with law firms and legal advisors, our specialists work with a technical and personalized approach to the needs of each client. The calculations and analyses are impartial and didactic, always developed with a view to enabling the restoration of the financial health of companies.
